Calcium9 Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Calcium9 Services, including any applications, software, gameplay functionality, digital content, or related services made available by Calcium9 LLC (“Calcium9,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

#1. Eligibility and Account Registration

1.1 Eligibility.

You may use the Services only if you are at least thirteen (13) years of age or the minimum age required in your jurisdiction to independently consent to online services. If you are under eighteen (18) years of age, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

1.2 Account Creation.

Certain features of the Services require registration of an account. You agree to provide accurate, current, and complete information during registration and to maintain such information as necessary to keep it accurate.

1.3 Account Responsibility.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You may not share, transfer, or permit access to your account except as expressly authorized by Calcium9.

1.4 Authority.

If you access or use the Services on behalf of an organization or other legal entity, you represent and warrant that you possess authority to bind such entity to these Terms.

#2. License and Permitted Use

2.1 License Grant.

Subject to your ongoing compliance with these Terms, Calcium9 grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for their intended purposes.

2.2 Compliance with Laws and Policies.

You agree to use the Services in accordance with all applicable laws and any policies, rules, or documentation made available by Calcium9 from time to time.

#3. Prohibited Conduct

You shall not, directly or indirectly, misuse the Services or enable others to do so. Without limitation, you agree not to:

(a) violate or infringe the rights of any person or entity;
(b) copy, distribute, license, sell, lease, or commercially exploit any portion of the Services except as permitted herein;
(c) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying technology except where prohibited restrictions are unenforceable under applicable law;
(d) access or extract data through automated means not authorized by Calcium9;
(e) interfere with, disrupt, or impair the operation or security of the Services; or
(f) circumvent technical safeguards, rate limits, moderation systems, or protective mechanisms implemented by Calcium9.

#4. Software and Third-Party Materials

4.1 Software Components.

The Services may include downloadable software or mobile applications that may update automatically to maintain compatibility, performance, or security.

4.2 Open Source Software.

Certain components of the Services may be subject to open-source licenses that govern use of those components independently of these Terms.

4.3 Third-Party Services.

The Services may incorporate or interoperate with third-party products, services, or content (“Third-Party Services”). Calcium9 does not control and assumes no responsibility for Third-Party Services or related outputs, which remain subject to applicable third-party terms.

#5. Interactive Gameplay and Virtual Features

5.1 Application.

To the extent the Services include gameplay functionality, augmented reality experiences, virtual economies, community interaction systems, or similar features (“Game Features”), this Section 5 applies.

5.2 Player Conduct.

Users must comply with all gameplay rules, event requirements, and community standards issued by Calcium9 (“Game Rules”). Calcium9 may investigate and enforce compliance to preserve fair participation and platform integrity.

5.3 Fair Use of Game Features.

You shall not engage in cheating, exploitation of software defects, unauthorized automation, use of bots or modified clients, circumvention of anti-cheat systems, fraudulent conduct, or disruptive behavior affecting Game Features.

5.4 Virtual Items.

Game Features may include virtual currency, digital goods, points, or similar items (“Virtual Items”). Virtual Items are licensed to you, not sold, possess no independent monetary value, and are not redeemable for real-world currency except where required by law. Calcium9 may modify, rebalance, suspend, or discontinue Virtual Items or Game Features at any time.

5.5 Location-Based Experiences.

Certain Game Features may utilize device location, cameras, sensors, or real-world interaction. You acknowledge that participation occurs at your own risk and agree to remain attentive to personal safety, comply with applicable laws, avoid trespass, and refrain from unsafe device usage.

5.6 User Submissions.

The Services may permit submission of gameplay-related content. You represent that all submissions comply with applicable law and do not violate third-party rights. Calcium9 reserves the right to review, moderate, remove, or disable access to submitted content at its discretion.

5.7 Device Integrity.

Calcium9 may restrict or disable access to Game Features on devices that are modified, rooted, jailbroken, or otherwise compromised.

#6. Use of Data

Calcium9 may collect and use information submitted through the Services to operate, maintain, improve, and secure the Services, enforce applicable policies, and comply with legal obligations, as described in the Privacy Policy.

#7. Intellectual Property Rights

All right, title, and interest in and to the Services, including all technology, software, and content, remain the exclusive property of Calcium9 and its licensors. Except for the limited license granted herein, no rights are transferred to you.

You may not use Calcium9 trademarks, branding, or logos without prior written authorization.

#8. Fees and Payment Terms

8.1 Paid Services.

Certain Services may require payment. You agree to provide valid billing information and authorize Calcium9 to charge applicable fees and taxes.

8.2 Subscription Renewals.

Subscriptions renew automatically for successive billing periods unless canceled prior to renewal.

8.3 Cancellation.

You may cancel a subscription at any time; however, payments previously made are non-refundable except where required by applicable law.

8.4 Price Modifications.

Calcium9 may modify pricing upon advance notice, with changes effective at the next renewal period.

#9. Suspension and Termination

9.1 Termination by User.

You may discontinue use of the Services at any time.

9.2 Suspension or Termination by Calcium9.

Calcium9 may suspend or terminate access where it reasonably determines that:

(a) these Terms have been violated;
(b) action is required by law;
(c) continued use presents risk or harm;
(d) an account remains inactive for an extended period; or
(e) prohibited gameplay conduct has occurred.

9.3 Appeals.

Users may request review of enforcement decisions by contacting help@calcium9.com.

9.4 Discontinuation.

Calcium9 may discontinue the Services upon reasonable notice and will provide refunds for prepaid unused paid Services where applicable.

#10. Feedback

Any feedback, suggestions, or ideas provided regarding the Services may be used by Calcium9 without restriction or obligation.

#11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALCIUM9 DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

CALCIUM9 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

#12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALCIUM9 AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES.

CALCIUM9’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

#13. Indemnification

If you use the Services on behalf of a business or organization, you agree to indemnify and hold harmless Calcium9 and its affiliates from third-party claims arising from your use of the Services or violation of these Terms.

#14. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by National Arbitration and Mediation under applicable rules, unless otherwise prohibited by law.

Prior to initiating arbitration, the parties agree to attempt informal resolution for sixty (60) days following written notice.

Disputes must be brought solely on an individual basis. Class, collective, and representative proceedings are waived to the fullest extent permitted by law.

Claims eligible for small claims court or requests for injunctive relief relating to misuse of intellectual property are excluded from arbitration.

#15. Intellectual Property Complaints

Calcium9 will respond to notices of alleged infringement submitted in accordance with applicable law. Notices must include sufficient information to identify the claimed work, alleged infringement, and contact information of the complaining party.

Repeat infringers may have accounts terminated.

#16. General Provisions

16.1 Assignment.

You may not assign these Terms without Calcium9’s prior written consent. Calcium9 may assign these Terms to affiliates or successors.

16.2 Modifications.

Calcium9 may update these Terms from time to time. Material changes will be communicated in advance where required by law.

16.3 No Waiver.

Failure to enforce any provision shall not constitute a waiver.

16.4 Trade Compliance.

You agree to comply with all applicable export controls, sanctions laws, and trade regulations.

16.5 Entire Agreement.

These Terms constitute the entire agreement between you and Calcium9 regarding the Services.

16.6 Governing Law.

These Terms are governed by the laws of the State of California, excluding conflict-of-law principles. Courts located in San Francisco, California shall have jurisdiction where court proceedings are permitted.
